Terms & Conditions

Please read these terms carefully before placing an order or using our wholesale services.

1. Definitions

In these Terms & Conditions, the following definitions apply:

  • "Company", "we", "us", "our" refers to Greif International Holding B.V., with its registered office at Van Heuven Goedhartlaan 9A, 5E Etage, 1181 LE Amstelveen, Netherlands (KVK 33065401, Safe Number NL01945454).
  • "Client", "you", "your" refers to any business entity, organization, or individual acting in a professional capacity that requests a quote, places an order, or otherwise engages with our services.
  • "Products" refers to all goods available through our wholesale distribution services, including but not limited to chocolate, candy and gummies, spreads and creams, mints, halal sweets, ice cream and frozen lines, soft, energy and alcoholic drinks, snacks, and sugar in ICUMSA grades.
  • "Order" refers to any request to purchase Products placed through our contact form or by email.
  • "Services" refers to the wholesale distribution, logistics, and related services provided by the Company.

2. Eligibility & Business Customers

2.1. Our Services are intended exclusively for business customers — retailers, supermarkets, distributors, wholesalers, exporters and importers — acting in a professional capacity. We do not sell to private consumers.

2.2. To request a quote or place an Order, you must provide accurate and complete information about your company, including your business registration and VAT identification number (where applicable) and a valid business address.

2.3. We reserve the right to verify your business credentials and may request additional documentation, such as trade licenses, import permits, or references, before accepting an Order.

2.4. We reserve the right to decline to deal with any party that provides false information, violates these Terms, or is engaged in fraudulent activity.

3. Orders & Payment

3.1. Pricing is provided on a quotation basis. A quotation does not constitute a binding offer and is valid only for the period stated. All Orders are subject to acceptance by us, and we reserve the right to refuse or cancel any Order at our discretion, including in cases of pricing errors, product unavailability, or suspected fraud.

3.2. Prices are quoted in euros (EUR) unless otherwise agreed in writing, and are exclusive of import duties, destination taxes, and any other fees unless explicitly stated. The applicable Incoterm (Incoterms 2020) determines which costs are included. We reserve the right to adjust prices at any time; however, an Order confirmed against a proforma invoice will be honoured at the quoted price.

3.3. Orders are confirmed against a proforma invoice. Unless otherwise agreed in writing, payment is required in full prior to dispatch. For customers with an established trading history, tailored payment terms may be agreed in writing.

3.4. We accept payment by bank transfer (SEPA within the EU, SWIFT internationally). Other payment methods may be available upon request.

3.5. Late payments will incur interest at the statutory commercial interest rate applicable under Dutch law, calculated from the due date until full payment is received, together with reasonable costs of recovery.

3.6. Minimum order quantities apply per product category and are typically set by carton or pallet. Indicative minimums are detailed on our Wholesale Programme page and may be updated from time to time; the applicable minimums for your Order are confirmed at quotation.

4. Shipping & Delivery

4.1. We ship Products from the Netherlands to destinations worldwide. Delivery timelines are estimates only and are not guaranteed. We shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to carrier delays, customs processing, weather events, port congestion, or force majeure.

4.2. Risk of loss and damage, and responsibility for freight and insurance, pass to you in accordance with the Incoterm (Incoterms 2020) agreed for your Order — for example EXW Amstelveen, FCA, FOB Rotterdam, or CIF/CIP to the agreed destination.

4.3. Freight charges, where they apply, are quoted per Order based on destination, weight, volume and the chosen method and Incoterm.

4.4. You are solely responsible for all import duties, destination VAT, customs clearance fees, and any other charges levied by authorities in the destination country. We provide export documentation (commercial invoices, packing lists, certificates of origin, EUR.1 certificates and other documents where required) to facilitate your customs clearance process.

4.5. You must inspect all Products upon delivery and report any visible damage, shortage, or discrepancy to us and the carrier in writing within 48 hours of receipt. Failure to report within this timeframe may limit your ability to claim.

5. Returns & Refunds

5.1. We accept returns or issue credit only for Products that are damaged during transit, defective, or materially different from what was ordered. You must notify us within 48 hours of delivery, providing photographic evidence and a written description of the issue.

5.2. For perishable goods, claims must be made within 24 hours of receipt. We require photographic evidence showing the condition of the Products and packaging upon delivery.

5.3. We do not accept returns for Products that have been opened, tampered with, stored improperly after delivery, or returned due to change of mind, buyer's remorse, or incorrect ordering.

5.4. Upon approval of a valid claim, we will, at our discretion, either replace the affected Products at no additional cost, issue a credit note for future orders, or provide a refund to the original payment method. Refunds will be processed within 14 business days of claim approval.

5.5. Return shipping costs for approved claims will be borne by us. We will arrange collection or provide a prepaid shipping label. Unauthorized returns shipped without prior approval will not be accepted.

6. Product Quality & Warranty

6.1. All Products are genuine and sourced through legitimate channels. We warrant that Products are authentic, conform to their published specifications, and have a generous remaining shelf life — generally a minimum of 70% of the best-before period — at the time of dispatch.

6.2. We handle Products in accordance with applicable Dutch and EU food-safety standards and maintain appropriate storage and cold-chain conditions. However, we make no representations or warranties beyond those expressly stated in these Terms.

6.3. Product images, descriptions, and specifications on our website are provided for reference purposes and may vary slightly from the actual Products due to manufacturer updates, packaging redesigns, or regional variations.

7. Intellectual Property

7.1. All content on our website, including text, images, logos, graphics, and software, is the property of Greif International Holding B.V. or its licensors and is protected by applicable intellectual property laws.

7.2. Product names, brand names, and trademarks displayed on our website are the property of their respective owners. Their inclusion on our website does not grant you any license or right to use them.

8. Limitation of Liability

8.1. To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with these Terms, any Order, or the use of our Services shall not exceed the total amount paid by you for the specific Order giving rise to the claim.

8.2. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, or loss of data, whether arising from contract, tort, negligence, or otherwise.

8.3. Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

9. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions, sanctions, embargoes, strikes, labor disputes, port closures, supply chain disruptions, carrier failures, or failures of utility services. In such events, our obligations shall be suspended for the duration of the force majeure event.

10. Governing Law & Jurisdiction

10.1. These Terms & Conditions, and any Order or contract concluded under them, shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

10.2. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.

10.3. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to any transactions under these Terms.

11. Amendments

We reserve the right to modify these Terms & Conditions at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our Services after any such changes constitutes your acceptance of the revised Terms. For material changes that may affect your existing orders or account, we will provide reasonable notice via email.
